1. Introduction

Welcome to Brainy X.

These Terms and Conditions govern your use of the Brainy X website and your purchase and use of products supplied by Brainy X.

By accessing or using this website, placing an order or purchasing a product, you agree to be bound by these Terms and Conditions.

Nothing in these Terms and Conditions limits or excludes any consumer rights that may not lawfully be limited or excluded under South African law.

3. Products

Brainy X supplies digital educational products, primarily downloadable and printable educational summaries.

Products may be organised according to:

  • grade;
  • subject;
  • textbook;
  • school term or quarter;
  • language; and
  • curriculum or syllabus.

No physical products are shipped.

Unless expressly stated otherwise, purchasing a Brainy X product does not provide access to an online learner account, subscription or recurring service.

Any free educational videos or other free content made available through the Brainy X website, YouTube channel or another platform are separate from the downloadable products sold through the website.

Product descriptions, available samples and preview documents are provided to help customers select the correct product.

Customers must check the grade, subject, textbook, term and other product details carefully before placing an order.

4. Product Descriptions and Educational Content

Brainy X takes reasonable care to ensure that product descriptions and educational materials are accurate, clear and up to date.

However:

  • minor differences in layout, formatting or appearance may occur;
  • colours may display or print differently depending on the customer’s device, monitor or printer;
  • product previews may show only a portion of the complete product; and
  • products may be revised or improved from time to time.

Brainy X summaries are intended to support learning and revision. They do not replace prescribed textbooks, classroom teaching, official curriculum documents or instructions provided by a learner’s school or teacher.

5. Orders

An order is placed when a customer selects a product, completes the required checkout information and submits payment.

Before placing an order, the customer is responsible for checking:

  • the grade;
  • the subject;
  • the textbook;
  • the term or quarter;
  • the language;
  • the quantity, where applicable;
  • the customer’s email address; and
  • the total order amount.

Customers must be given an opportunity to review their order, correct mistakes and remove products before finally submitting the order.

An order is confirmed only once payment has been successfully authorised and received.

Brainy X may cancel or refuse an order where:

  • payment has not been successfully authorised;
  • incorrect or incomplete customer information has been supplied;
  • there is an obvious pricing, product or technical error;
  • the selected product is unavailable;
  • fraud, misuse or unauthorised activity is reasonably suspected; or
  • the order cannot reasonably be fulfilled.

Where payment has already been received and Brainy X is unable to fulfil the order, the customer will be contacted and an appropriate remedy will be provided.

6. Prices

All prices are displayed in South African Rand.

The price displayed for a product at the time the order is placed will apply to that order, unless there is an obvious pricing or technical error.

Because Brainy X supplies digital products, no physical delivery or shipping fee is charged unless expressly stated otherwise.

Brainy X may change its prices at any time. A price change will not affect an order that has already been completed and successfully paid.

7. Payment

Payments are processed through PayFast or another payment provider identified during checkout.

Brainy X does not store customers’ full bank-card details, banking login details or payment credentials on the Brainy X website.

An order will not be completed until payment has been successfully processed.

If payment fails, is declined or is not completed, the customer will not receive the purchased product.

Customers are responsible for ensuring that they are authorised to use the payment method supplied during checkout.

8. Delivery of Digital Products

Brainy X products are delivered electronically.

Depending on the checkout and website configuration, delivery may take place through:

  • an immediate download link displayed after payment;
  • a download link contained in an order-confirmation email;
  • an email containing or linking to the purchased product; and/or
  • another electronic delivery method stated during checkout.

Digital delivery normally takes place shortly after successful payment.

Customers must provide a valid and accessible email address. Brainy X will not be responsible for delivery problems caused by:

  • an incorrect email address supplied by the customer;
  • a full email inbox;
  • spam, junk-mail or security filters;
  • restrictions imposed by the customer’s email provider;
  • the customer’s internet connection;
  • incompatible software or devices; or
  • other circumstances outside Brainy X’s reasonable control.

Customers should check their spam or junk-mail folders if they do not receive an order-confirmation or download email.

If a purchased product is not received or a download link does not work, the customer must contact Brainy X as soon as reasonably possible.

Brainy X may apply reasonable expiry periods or download limits to download links for security and system-management purposes. This does not remove the customer’s right to receive the product purchased.

9. Customer Responsibilities

The customer is responsible for:

  • providing accurate contact and order information;
  • using a valid email address;
  • checking the selected products before payment;
  • downloading purchased files within any stated download period;
  • safely storing personal copies of purchased files;
  • ensuring that the customer’s device can open standard digital file formats;
  • protecting purchased files from unauthorised access or distribution; and
  • using the products only as permitted by these Terms and Conditions.

Brainy X will use reasonable efforts to assist with genuine delivery or technical problems.

10. File Formats and Technical Requirements

Brainy X products are generally supplied in commonly used digital formats, such as PDF.

Customers are responsible for having:

  • a compatible device;
  • suitable software to open the file;
  • a working internet connection; and
  • access to a printer where the customer wishes to print the product.

Brainy X is not responsible for printing costs, ink usage, paper usage, printer settings or differences caused by a customer’s printer or device.

A customer who cannot open a supplied file should contact Brainy X before purchasing the same product again.

11. Intellectual Property

All Brainy X content remains the intellectual property of Yvette Conradie trading as Brainy X, or of the relevant rights holder where otherwise stated.

Protected content includes, but is not limited to:

  • educational summaries;
  • downloadable documents;
  • sample documents;
  • text;
  • tables;
  • graphics;
  • illustrations;
  • layouts;
  • designs;
  • branding;
  • logos;
  • website content; and
  • educational resources.

Purchasing a product does not transfer ownership of the intellectual property to the customer.

The customer receives only a limited right to use the purchased product in accordance with these Terms and Conditions.

12. Permitted Use

Brainy X products are sold for personal, non-commercial educational use.

A customer may:

  • download the purchased file;
  • save a personal copy;
  • print the file for personal educational use;
  • use the product as a study and revision aid; and
  • allow the learner for whom the product was purchased to use it within the same household.

Unless Brainy X has given prior written permission or issued a separate licence, a customer may not:

  • share the digital file with another household;
  • share the file with other learners, parents, teachers or tutors;
  • upload the file to a website, online platform, cloud folder or shared drive;
  • distribute the file through email, WhatsApp, Telegram, social media or another messaging service;
  • sell, resell, sublicense or exchange the file;
  • reproduce or distribute the product to an entire class, grade, school or organisation;
  • make the product publicly available;
  • remove copyright notices, logos, watermarks or Brainy X branding;
  • alter the product for resale or redistribution;
  • use the content to create a competing commercial product; or
  • claim the content as the customer’s own work.

Schools, tutors, learning centres and educational organisations that require broader usage rights must obtain prior written permission or an appropriate licence from Brainy X.

13. Unauthorised Sharing

Each purchase is intended for the personal educational use of the purchaser or the learner for whom the product was purchased.

Unauthorised copying, sharing or distribution may result in:

  • withdrawal of access to download links;
  • refusal of future orders;
  • a request to remove or delete unlawfully shared content; and
  • legal action where appropriate.

Brainy X reserves all rights available under intellectual-property and other applicable laws.

14. Incorrect Product Selection

Customers must carefully check the selected grade, subject, textbook, term and language before making payment.

Where a customer accidentally purchases the wrong product, Brainy X will use reasonable efforts to assist.

Depending on the circumstances, Brainy X may consider:

  • helping the customer locate the correct product;
  • replacing the download link;
  • exchanging the product;
  • offering a credit; or
  • providing another reasonable solution.

Assistance in these circumstances does not automatically guarantee a refund, exchange, credit or free replacement.

Factors that may be considered include:

  • whether the incorrect product has already been downloaded;
  • whether the file has been used or shared;
  • how quickly the customer reported the mistake;
  • whether the correct product is available; and
  • the circumstances surrounding the purchase.

Nothing in this section limits any rights that the customer may have under applicable law.

15. Refunds and Cancellations

Brainy X supplies digital products that are normally made available immediately after successful payment.

Because digital products cannot ordinarily be returned once supplied or accessed, change-of-mind refunds and cancellations are generally not available after:

  • a download link has been supplied;
  • a digital file has been delivered;
  • the customer has downloaded the product; or
  • the customer has otherwise received access to the product.

A refund, replacement or another appropriate remedy may be considered where:

  • the customer did not receive the purchased product;
  • a download link does not work;
  • the file is corrupted or cannot reasonably be opened;
  • Brainy X supplied the incorrect product;
  • the product is materially different from its description;
  • a duplicate payment was made;
  • an incorrect amount was charged; or
  • another verified technical or order-related problem occurred.

Refund and cancellation requests will be handled in accordance with the Brainy X Refund Policy and applicable South African law.

Nothing in these Terms and Conditions removes or limits any remedy that Brainy X is legally required to provide.

16. Duplicate Payments

A customer who believes that a payment has been processed more than once must contact Brainy X as soon as possible.

The customer may be required to provide:

  • the order number;
  • the email address used for the order;
  • proof of payment;
  • the payment date;
  • the amount paid; and
  • the relevant PayFast or bank reference.

Once a duplicate payment has been verified, Brainy X will arrange an appropriate refund.

17. Product Availability

All products are subject to availability.

If Brainy X is unable to supply a purchased product after payment has been received, the customer will be contacted.

Depending on the circumstances, Brainy X may provide:

  • the correct product;
  • a replacement product;
  • an exchange;
  • credit, where agreed; or
  • a refund.

18. Corrections and Updates

Brainy X may correct:

  • typographical errors;
  • spelling or formatting mistakes;
  • broken links;
  • pricing errors;
  • product-description errors; and
  • technical problems.

Brainy X may also revise or improve educational products from time to time.

Unless expressly stated otherwise, purchasing a product does not automatically entitle the customer to every future revision or updated version of that product.

Where a material error is discovered in a purchased product, Brainy X may provide a corrected version where reasonably appropriate.

19. Educational Disclaimer

Brainy X products are educational resources intended to support study, revision and understanding.

They are not a substitute for:

  • prescribed textbooks;
  • classroom teaching;
  • professional educational advice;
  • instructions issued by a teacher or school;
  • official curriculum documents; or
  • official examination guidelines.

Although reasonable care is taken when preparing the products, Brainy X does not guarantee:

  • a particular test or examination result;
  • admission to a school, institution or course;
  • that every school will teach work in the same order;
  • that every teacher will use the same terminology or method; or
  • that every examination question will be covered by a particular summary.

Learners and parents remain responsible for confirming prescribed work, assessment requirements and examination instructions with the relevant school or teacher.

20. Website Use

The Brainy X website may be used only for lawful purposes.

A user may not:

  • interfere with the operation or security of the website;
  • attempt to gain unauthorised access to the website, server, systems or data;
  • introduce viruses, malicious code or harmful software;
  • attempt to bypass checkout, payment or download restrictions;
  • use false information when placing an order;
  • use another person’s payment information without authorisation;
  • copy or extract website content without permission;
  • use automated systems to scrape, download or reproduce content;
  • attempt to disrupt website services; or
  • use the website for fraudulent or unlawful activity.

Brainy X may restrict or block access where misuse, fraud or unlawful conduct is reasonably suspected.

21. Website Availability

Brainy X will take reasonable steps to keep the website and its products accessible.

However, uninterrupted access cannot be guaranteed.

The website may be temporarily unavailable because of:

  • maintenance;
  • software updates;
  • hosting problems;
  • internet-service interruptions;
  • payment-provider interruptions;
  • security incidents;
  • technical failures; or
  • circumstances outside Brainy X’s reasonable control.

Where a temporary website problem prevents a customer from receiving a purchased product, Brainy X will use reasonable efforts to provide the product through another appropriate electronic method.

22. Third-Party Services

The website may use third-party services, including:

  • PayFast;
  • WordPress;
  • WooCommerce;
  • website-hosting providers;
  • email-service providers;
  • security and technical-service providers; and
  • YouTube or other external platforms.

Third-party services are governed by their own terms, privacy policies and operating requirements.

Brainy X is not responsible for the independent actions, availability, content or privacy practices of third-party providers, except to the extent that responsibility cannot lawfully be excluded.

23. External Links and Free Content

The Brainy X website may contain links to external websites, videos or platforms.

These links are supplied for convenience or educational purposes.

Brainy X does not control every external website or platform and does not guarantee that external content will always be available, accurate, secure or suitable.

The presence of a link does not necessarily mean that Brainy X endorses every statement, product or service appearing on the external website.

24. Limitation of Liability

Brainy X will take reasonable care in operating the website and supplying its products.

To the fullest extent permitted by law, Brainy X will not be liable for indirect, incidental, special or consequential loss arising from:

  • the use or inability to use the website;
  • the use of a purchased educational product;
  • temporary website interruptions;
  • loss of files after they have been successfully delivered;
  • incompatible customer software or devices;
  • printing problems;
  • third-party website or payment-provider interruptions; or
  • unauthorised use or sharing of a purchased product by the customer.

Nothing in these Terms and Conditions excludes or limits liability where such exclusion or limitation is prohibited by law.

25. Privacy

Personal information submitted through the Brainy X website will be processed in accordance with the Brainy X Privacy Policy and applicable South African privacy law.

By placing an order, the customer acknowledges that certain personal information must be processed to:

  • complete the order;
  • confirm payment;
  • deliver the purchased product;
  • provide customer support;
  • maintain transaction records; and
  • comply with legal and accounting obligations.

26. Electronic Communications

By using the website or placing an order, the customer agrees that Brainy X may communicate electronically regarding:

  • order confirmation;
  • payment status;
  • product delivery;
  • download links;
  • customer-support requests;
  • refunds;
  • corrections; and
  • other matters directly related to the transaction.

Transactional communications are necessary to complete and manage an order.

Marketing communications will be handled separately and in accordance with applicable privacy and electronic-communications requirements.

27. Complaints

Customers are encouraged to contact Brainy X directly if they have a complaint or problem.

The customer should provide:

  • their full name;
  • the email address used for the order;
  • the order number, where available;
  • the product concerned;
  • a clear description of the complaint; and
  • any relevant supporting information.

Brainy X will use reasonable efforts to investigate and respond to the complaint.

Nothing prevents a customer from approaching an appropriate consumer-protection body or exercising another lawful remedy.

28. Changes to These Terms and Conditions

Brainy X may update these Terms and Conditions where necessary because of changes to:

  • the website;
  • products;
  • payment methods;
  • delivery methods;
  • business operations; or
  • applicable legal requirements.

The latest version published on the website will apply to future website use and purchases.

Changes will not remove any rights already acquired by a customer under an existing completed transaction or applicable law.

29. Severability

If any provision of these Terms and Conditions is found to be unlawful, invalid or unenforceable, that provision will be treated as separate from the remaining provisions.

The remaining provisions will continue to apply to the fullest extent permitted by law.

30. No Waiver

If Brainy X does not immediately enforce a provision of these Terms and Conditions, this does not mean that Brainy X has waived the right to enforce that provision later.

31. Governing Law

These Terms and Conditions and all transactions concluded through the Brainy X website are governed by the laws of the Republic of South Africa.
